By accessing or using this website (ivorycompounds.com) (“Site”), placing an order, or otherwise using our services, you agree to be legally bound by these Terms & Conditions (“Terms”). These Terms govern all purchases and use of materials obtained through Ivory Compounds LLC (“Ivory Compounds,” “Company,” “we,” “our,” or “us”). If you do not agree to these Terms, you must not access the Site or purchase any products

ELIGIBILITY

You must be at least twenty-one (21) years of age to access this website, create an account, or purchase any products from Ivory Compounds.

By purchasing from this website, you affirm and warrant that:

You are at least twenty-one (21) years of age;
You are acquiring these products solely for lawful laboratory research and not for personal use, consumption, or administration of any kind;
You possess (or have access to) the training, equipment, and controlled laboratory environment necessary to safely handle research chemicals;
You will not resell, distribute, or otherwise transfer these products to any individual or entity for personal use, consumption, or administration;
You are responsible for ensuring your possession and use of these products complies with all applicable federal, state, and local laws.

RESEARCH USE ONLY (RUO) — BINDING CERTIFICATION

All products sold by Ivory Compounds are research chemicals intended strictly and exclusively for in-vitro laboratory research by qualified professionals.

Our products are:

Not for human consumption, injection, ingestion, inhalation, or topical use
Not for animal or veterinary use
Not drugs, dietary supplements, cosmetics, or medical devices
Not intended to diagnose, treat, cure, or prevent any disease
Not approved by the U.S. Food and Drug Administration (“FDA”) for any human or veterinary application

Ivory Compounds does not provide, and will not provide upon request, dosing instructions, reconstitution guidance, administration protocols, or any other usage advice. Any reference to scientific literature on this Site is provided strictly for educational and research context and does not constitute a recommendation for use of any kind.

By completing checkout, you represent, warrant, and certify that you are purchasing solely for legitimate laboratory research purposes and that you understand improper use of these products may violate federal, state, or local law.

This Site, and your purchase, are further governed by our standalone Research Use Only (RUO) Policy, which is incorporated into these Terms by reference and controls in the event of any conflict regarding research-use obligations.

PROHIBITED USES

Products purchased from Ivory Compounds may not be used for, and you agree not to use them for:

Human consumption, injection, ingestion, inhalation, or topical application;
Veterinary or animal administration of any kind;
Compounding, manufacturing, or formulating any product intended for human or animal use;
Food, dietary supplement, or cosmetic production;
Any clinical, diagnostic, or therapeutic application;
Any activity that violates federal, state, or local law.

Any attempt to purchase products for a prohibited purpose, or any indication that products will be used for a prohibited purpose, may result in immediate order cancellation, permanent account termination, and reporting to appropriate authorities where required by law.

PRODUCT QUALITY, TESTING & CERTIFICATES OF ANALYSIS

Ivory Compounds is committed to maintaining consistent quality standards for research applications:

Products do undergo third-party identity and purity testing.
A Certificate of Analysis (“COA”) are available upon request.
All specifications, purity percentages, and testing data are provided strictly for research reference. Batch-to-batch variation may occur, and no
specification constitutes a guarantee of fitness for any particular research application

Research chemicals offered on this Site are experimental in nature and have not been fully characterized for human safety or efficacy. They are intended exclusively for handling by trained laboratory professionals.

LABORATORY HANDLING RESPONSIBILITY

You assume full and sole responsibility for:

Safe storage, handling, and reconstitution of any product, where applicable to laboratory use;
Use of appropriate laboratory equipment, controls, and personal protective equipment (PPE);
Compliance with OSHA-aligned and other applicable laboratory safety standards;
Proper and lawful disposal of all materials and packaging;
Reviewing any available Safety Data Sheet (SDS) prior to handling a product.

Ivory Compounds is not responsible for any injury, loss, or damage resulting from improper handling, storage, or unauthorized application of its
products after delivery.

FRAUD PREVENTION & ORDER VERIFICATION

We reserve the right to:

Verify customer identity prior to fulfilling an order;
Request additional documentation, including proof of research or institutional affiliation;
Require signature confirmation on select orders;
Refuse service to prevent fraud, chargeback abuse, misuse, or violations of these Terms;
Cancel, without notice, any order suspected of fraudulent or improper activity.

Excessive refund claims or chargeback activity associated with an account may result in account restriction or termination.

FDA & REGULATORY STATUS

The statements on this website have not been evaluated by the FDA. Ivory Compoundsoperates as a chemical supplier only and is not a compounding pharmacy or outsourcing facility as defined under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. Products are not marketed, labeled, or intended for use as drugs, dietary supplements, or medical devices.

NO MEDICAL OR HEALTH CLAIMS

Information provided on this Site is for informational and research context only. Nothing on this Site should be construed as medical advice, treatment guidance, dosing recommendations, health guidance, diagnostic information, or product endorsement. Ivory Compounds makes no claim that any product can diagnose, treat, cure, or prevent any disease or condition.

ORDER ACCEPTANCE & RIGHT OF REFUSAL

Ivory Compounds reserves the right, at its sole discretion, to refuse, limit, cancel, or terminate any order at any time and for any reason, including but not limited to:

Suspected misuse or intended misuse of products;
High chargeback or fraud risk;
Suspected resale or distribution to unauthorized parties;
Suspected human or animal consumption;
Unlawful intent or violation of any applicable law;
Pricing or listing errors;
Non-compliance with these Terms.

We reserve the right to request proof of institutional or research affiliation before fulfilling any order, to limit order quantities, and to discontinue products without notice.

ACCOUNT TERMS

Access to certain features of the Site may require an account. By creating an account, you agree to:

Provide accurate, current, and complete information during registration;
Maintain the confidentiality of your account credentials;
Notify us immediately of any unauthorized access to your account;
Accept responsibility for all activities occurring under your account.

We reserve the right to suspend or terminate accounts at our sole discretion, including for suspected violations of these Terms or conduct we deem inconsistent with the lawful operation of our business.

PRICING & PROMOTIONS

All pricing, promotions, and discounts are time-bound and apply only during the stated promotional period. Orders placed outside an active promotion are not eligible for retroactive discounts or price adjustments. Promotions may not be combined unless explicitly stated. We reserve the right to modify, suspend, or discontinue any promotion at any time without notice.

SHIPPING, RETURNS & REFUNDS

Due to the regulated and sensitive nature of research materials, no returns are accepted under any circumstances. All sales are final. Opened, used, or altered products are not eligible for return or refund. This does not affect your ability to submit a damage or fulfillment-error claim, as described below, provided you meet the applicable documentation requirements.

If your order arrives damaged or you receive an incorrect item due to a verified Ivory Compounds fulfillment error, you must contact us at support@ivorycompounds.com within twenty-four (24) hours of delivery. This window is strictly enforced; claims submitted after twenty-four (24) hours will be denied without exception. Verified claims will be resolved, at our sole discretion, with store credit or a replacement — no cash refunds will be issued. Full documentation requirements and the claims process are set out in our standalone Shipping & Returns Policy, which is incorporated into these Terms by reference. In summary: we currently ship within the United States only, and title and risk of loss pass to the buyer upon tender of the package to the shipping carrier.

Before contacting your bank or payment provider, you agree to contact us directly at support@ivorycompounds.com to attempt to resolve any shipping, delivery, or product issue. All sales are final, and title and risk of loss pass to you upon tender of the package to the shipping carrier; a chargeback filed without a valid basis under our Shipping & Returns Policy is a violation of these Terms. We will vigorously contest any chargeback we believe to be unauthorized, fraudulent, or inconsistent with these Terms, and any account associated with such a chargeback will be permanently terminated, with Ivory Compounds reserving the right to pursue recovery of the disputed amount and associated costs to the fullest extent permitted by law. DISCLAIMER OF WARRANTIES

ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. IVORY COMPOUNDS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Except for any express product specifications stated on the applicable Certificate of Analysis for a given lot, we make no warranty that products will meet any specific research objective or produce any particular research result. The buyer assumes all responsibility for determining the suitability of any product for their intended research use.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IVORY COMPOUNDS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

Your access to, use of, or inability to use the Site or products;
Any conduct or content of third parties;
Misuse, improper handling, or unlawful application of any product;
Unauthorized access to or alteration of your transmissions or data.

IN NO EVENT SHALL IVORY COMPOUNDS’ TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (i) THE AMOUNT PAID BY YOU TO IVORY COMPOUNDS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED DOLLARS ($100.00).

Any claim arising out of or related to these Terms or the products purchased must be filed within one (1) year of the date the claim arose, or it is permanently barred.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Ivory Compounds, its officers, directors, employees, agents, affiliates, suppliers, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

Your violation of these Terms;
Your violation of any applicable law or regulation;
Your misuse, improper handling, or unlawful application of any product;
Any human or animal consumption of products purchased from Ivory Compounds;
Your resale or distribution of products to unauthorized parties;
Your violation of any third party’s rights, including intellectual property or privacy rights.

DISPUTE RESOLUTION & ARBITRATION

Informal Resolution. Before filing any claim against Ivory Compounds, you agree to attempt to resolve the dispute informally by contacting support@ivorycompounds.com. The parties shall negotiate in good faith for at least sixty (60) days before initiating any formal proceeding.

Binding Arbitration. Any dispute, claim, or controversy arising out of or related to these Terms, your use of the Site, or any product purchased from Ivory Compounds shall be resolved through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in Nassau County, New York, unless the parties mutually agree to another location.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Ivory Compounds.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

GOVERNING LAW & VENUE

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any legal action not subject to arbitration shall be filed exclusively in the state or federal courts located in Nassau County, New York, and you consent to the personal jurisdiction of such courts

INTELLECTUAL PROPERTY

All content on this Site, including logos, branding, product descriptions, product photography, Certificates of Analysis, and other media, is the property of Ivory Compounds and may not be copied, distributed, reproduced, or used for any commercial purpose without prior written consent. The Ivory Compounds name and associated marks are protected under applicable trademark law.

FORCE MAJEURE

Ivory Compounds shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, supply chain disruptions, or carrier delays.

SEVERABILITY

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties’ intent.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ivory Compounds regarding their subject matter and supersede all prior or contemporaneous agreements or understandings.

AMENDMENTS

We reserve the right to update or revise these Terms at any time. Changes are effective immediately upon posting to this Site with an updated effective date. Continued use of the Site following any changes constitutes acceptance of the modified Terms.
